1. Interpretation

In these Terms & Conditions:

  • "Platform" means the website and associated services accessible at shoppa.uk.
  • "We", "us", "our" means the operator of .
  • "You", "user" means any person accessing or using the Platform, whether as a shopper, registered customer, guest, or vendor.
  • "Customer" means a person who purchases or attempts to purchase goods through the Platform.
  • "Vendor" means an independent third-party seller who lists products for sale on the Platform.
  • "Goods" means any physical or digital products listed for sale by Vendors on the Platform.
  • "Order" means a confirmed purchase of Goods made through the Platform.
  • "Contract" means the legally binding agreement between a Customer and a Vendor formed upon order confirmation.

2. About the Platform

is an online marketplace that enables independent Vendors to list and sell Goods to Customers. We are not a retailer. We do not own, hold, manufacture, or despatch any of the Goods sold on this Platform unless otherwise stated.

We act as the merchant of record solely for the purpose of processing payment on behalf of Vendors. The legal contract of sale for any Goods is formed directly between the Customer and the relevant Vendor. is not a party to that contract of sale.

By using the Platform, you acknowledge and agree that:

  • Goods are listed and supplied by independent Vendors, not by
  • We facilitate the transaction but are not responsible for the Goods themselves except as expressly set out in Section 8 below
  • Your statutory rights under UK consumer law remain unaffected by these terms

3. Eligibility and Accounts

You must be at least 18 years of age to create an account or place an order on the Platform. By registering or purchasing, you confirm that you are 18 or older.

When you create an account you must provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.

We reserve the right to suspend or terminate any account that we reasonably believe has been used fraudulently, abusively, or in breach of these terms, without prior notice. IP addresses associated with abuse may be blocked.

4. Orders and Payment

Placing an item in your cart does not constitute an order or guarantee availability. An Order is confirmed when:

  1. Payment is successfully processed by Stripe; and
  2. You receive an order confirmation email from us.

All payments are processed by Stripe, Inc. By completing a purchase you agree to Stripe's terms of service. We do not store full payment card details.

Stock availability is checked prior to Stripe processing commencing. However, in exceptional circumstances (for example simultaneous purchases by multiple customers), an item you have paid for may become unavailable. In such cases you will receive a full refund within 3–5 business days and we will notify you by email.

We reserve the right to cancel any Order where we reasonably suspect fraud, misuse, or where the Vendor is unable to fulfil the Order. A full refund will be issued in all such cases.

5. Pricing and VAT

All prices displayed on the Platform are in Pounds Sterling (GBP). Prices are set by individual Vendors and may be changed by Vendors at any time. The price you pay is the price displayed at the time you complete your Order.

Vendors are individually responsible for the correct application of VAT to their listings in accordance with their own VAT registration status and HMRC obligations. does not give tax advice and accepts no liability for a Vendor's VAT treatment.

A delivery charge of £3.99 applies to orders under £50.00. Orders of £50.00 or more qualify for free standard delivery. This charge is displayed clearly at checkout before payment is taken.

6. Delivery

Delivery is arranged and fulfilled by the individual Vendor. Estimated delivery timescales are provided by each Vendor on their product listings and are estimates only; they are not guaranteed.

Risk in the Goods passes to you upon delivery to the address you specified at checkout. If delivery fails because the address you provided is incorrect or you are not available to accept delivery, re-delivery charges may apply as determined by the Vendor's courier.

If your Order has not arrived within the Vendor's stated delivery window, please contact the Vendor directly via the Platform messaging system, or raise a support ticket with us if the Vendor is unresponsive.

7. Returns, Cancellations and Refunds

7.1 Your Statutory Right to Cancel (Consumer Contracts Regulations 2013)

If you are a consumer purchasing Goods for personal use, you have the right to cancel your Order within 14 calendar days of receiving the Goods without giving any reason. To exercise this right, you must notify us or the Vendor clearly (for example by email or through the Platform) before the 14-day period expires.

You must return the Goods to the Vendor within 14 days of cancellation. The cost of return postage is your responsibility unless the Goods are defective or misdescribed. You are responsible for the Goods until received by the Vendor; we recommend using a tracked service.

Refunds will be processed to your original payment method within 14 calendar days of the Vendor receiving the returned Goods. Delivery charges are refundable for full order cancellations where no part of the order is retained.

The right to cancel does not apply to:

  • Goods that are made to the consumer's specification or are clearly personalised
  • Goods which are liable to deteriorate or expire rapidly
  • Sealed Goods which have been unsealed after delivery and which are not suitable for return for health protection or hygiene reasons
  • Digital content that has been downloaded with your consent

7.2 Faulty or Misdescribed Goods

Under the Consumer Rights Act 2015, Goods must be of satisfactory quality, fit for purpose, and as described. If the Goods you receive are faulty or materially different from their description, you may be entitled to a repair, replacement, or refund. Please raise a dispute through the Platform or contact us at [email protected] .

7.3 Cancellation by Vendor or Platform

If a Vendor cancels your Order (for example due to stock unavailability), or if we cancel an Order under Section 4, you will receive a full refund including any delivery charge paid. Refunds are processed within 3–5 business days.

8. Vendor Disclaimer and Limitation of Platform Liability

Products listed on are sold by independent third-party Vendors. is a marketplace operator and is not the seller of the Goods. The legal contract of sale is between you and the Vendor.

expressly disclaims all warranties and representations, to the fullest extent permitted by law, in relation to:

  • The accuracy, completeness, or truthfulness of any product listing, description, image, or specification provided by a Vendor
  • The quality, fitness for purpose, safety, or legality of any Goods listed on the Platform
  • A Vendor's ability to fulfil any Order
  • Any representations made by a Vendor through the Platform messaging system or otherwise

Notwithstanding the above, your statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013 are not affected. Where a Vendor fails to honour their obligations (for example by failing to deliver or refusing a valid return), we will use reasonable endeavours to assist in resolving the dispute through our Platform dispute resolution process set out in Section 12. We do not guarantee resolution in every case.

You acknowledge that:

  • has not independently verified any product listing made by a Vendor
  • is not responsible for any inaccuracy, defect, or breach of consumer law by a Vendor except insofar as we are required to remedy this under applicable statute
  • Vendor ratings, reviews, and store descriptions are provided by Vendors themselves and have not been independently verified by

9. Limitation of Platform Liability

Nothing in these Terms limits or excludes our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under English law

Subject to the above, to the fullest extent permitted by law:

  • Our total liability to you in connection with any Order shall not exceed the total amount paid by you for that Order
  • We shall not be liable for any indirect, consequential, special, or incidental loss, including loss of profits, loss of data, or business interruption, whether arising in contract, tort, or otherwise
  • We are not responsible for any loss or damage arising from Platform downtime, technical errors, or third-party service failures (including Stripe or Cloudflare)

10. Intellectual Property

All content on the Platform that is created by or on behalf of — including but not limited to the name, logo, design, text, software, and user interface — is the intellectual property of and may not be reproduced, distributed, or used without our prior written consent.

Vendors retain ownership of product images, descriptions, and other content they upload. By listing on the Platform, Vendors grant a non-exclusive, royalty-free, worldwide licence to display, reproduce, and promote their content for the purposes of operating and marketing the Platform.

11. Prohibited Conduct

When using the Platform, you must not:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • List, sell, or purchase counterfeit, prohibited, or stolen goods
  • Misrepresent your identity or impersonate any person or entity
  • Attempt to circumvent any security, authentication, or access control measure
  • Use automated tools, bots, or scrapers to access the Platform without our prior written consent
  • Post false reviews, engage in shill activity, or manipulate ratings
  • Harass, threaten, or abuse other users through the messaging system
  • Introduce malware, viruses, or other harmful code
  • Use the Platform to process payments for goods or services not listed on the Platform

Breach of this section may result in immediate account suspension, termination, referral to law enforcement, and/or civil proceedings.

12. Disputes Between Customers and Vendors

In the event of a dispute between a Customer and a Vendor regarding an Order, the following process applies:

  1. Contact the Vendor — first attempt to resolve the matter directly with the Vendor through the Platform's order messaging system
  2. Raise a dispute — if unresolved within 48 hours, the Customer may raise a formal dispute through the Platform dispute system accessible from their order page
  3. Platform review — we will review the dispute and may request information from both parties. We aim to respond within 5 business days
  4. Resolution — we may facilitate a refund (in whole or in part) at our discretion. Where a Stripe refund is issued, it will be processed within 5–10 business days

Our dispute resolution process is a facilitated service; it does not constitute arbitration or legal adjudication and does not affect your statutory rights. Either party may pursue legal remedies independently.

13. Vendor Terms

By applying to become a Vendor and, upon approval, listing Goods on the Platform, you ("Vendor") agree to the following additional terms:

13.1 Vendor Eligibility and Application

  • You must be 18 or over and legally entitled to sell the Goods you list
  • Vendor applications are subject to approval by at our sole discretion. We may reject applications without reason
  • We may suspend or permanently remove Vendor accounts that breach these terms, with or without prior notice

13.2 Product Listings

  • You are solely responsible for the accuracy, legality, and completeness of all product listings, including descriptions, images, prices, and stock levels
  • You warrant that Goods you list are genuine, lawfully owned by you, fit for the described purpose, and comply with all applicable UK laws (including the Consumer Protection Act 1987, the General Product Safety Regulations 2005, and any sector-specific regulations)
  • You must not list counterfeit, prohibited, dangerous, or stolen goods
  • You are responsible for maintaining accurate stock levels. Persistent overselling may result in account suspension

13.3 Fulfilment

  • You are solely responsible for packing and despatching Goods within the timescales stated in your listings
  • You must handle all valid return and refund requests in accordance with the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013
  • Persistent failure to fulfil orders or respond to customer messages will result in account suspension

13.4 Vendor Indemnity

You agree to indemnify and hold harmless , its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your product listings or the Goods you supply
  • Your breach of these Terms
  • Your infringement of any third party's intellectual property, privacy, or other rights
  • Any claim by a Customer that your Goods were defective, dangerous, or misdescribed
  • Your failure to comply with applicable tax, VAT, or regulatory obligations

13.5 Platform Fee

charges a platform fee on each completed sale. The applicable fee percentage is displayed in your Vendor dashboard and may be adjusted by with 30 days' written notice via email. Individual negotiated rates may be agreed in writing and will be reflected in your dashboard. The platform fee is deducted from each sale prior to vendor payout via Stripe Connect.

14. Stripe Connect and Payouts

Vendor payouts are processed via Stripe Connect. By onboarding with Stripe Express, Vendors agree to Stripe's Connected Account Agreement .

is not responsible for any failure, delay, or error by Stripe in processing a payout. Payouts are contingent on the Vendor maintaining a valid, fully onboarded Stripe Express account. Payouts to Vendors with incomplete or suspended Stripe accounts will be held pending resolution and will not be forfeited.

In the event of a dispute resulting in a refund to a Customer, the corresponding vendor payout may be reversed, withheld, or clawed back at our discretion up to the value of the refund, including Stripe transaction fees.

15. Data Protection

We process personal data in accordance with our Privacy Policy, which forms part of these Terms. Your use of the Platform constitutes acknowledgement of that policy.

We collect and store your IP address at registration and at login. This data is used for security purposes including fraud detection and abuse prevention. IP addresses may be blocked where misuse is detected. Full details of data collected and your rights are set out in our Privacy Policy.

16. Cookies

We use essential cookies required for the Platform to function (session management, cart persistence, and security). Third-party cookies may be set by Stripe during payment processing and by Cloudflare for security. We do not use advertising or tracking cookies. Full details are set out in our Privacy Policy.

17. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Platform or any part of it at any time, with or without notice. We also reserve the right to amend these Terms at any time. Continued use of the Platform following notification of an amendment constitutes acceptance of the updated Terms. Where changes are material, registered users will be notified by email.

18. Termination

Either party may terminate the user relationship at any time. You may delete your account from your profile settings. We may terminate or suspend your account immediately if you breach these Terms, engage in fraudulent activity, or if required to do so by law.

Upon termination, your right to access the Platform ceases. Provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 10, 13.4, and 19) shall continue in full force.

19. Governing Law and Jurisdiction

These Terms & Conditions and any dispute or claim arising from or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the law of England and Wales.

Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or in connection with these Terms.

Nothing in this clause affects your statutory rights as a consumer under applicable UK law, including the right to bring proceedings in the courts of the jurisdiction in which you are domiciled.
